Terms of Service

By accessing or using the Service and Websites, you acknowledge and agree that you have read, understand, and agree to be bound by these Terms and our Privacy Policy.

Avnon Pte Ltd ("Avnon", "we", "our") provides the Mothusi platform, an AI-powered business partner platform for managing enterprise and supplier development programmes, mentoring, coaching, diagnostics, small business performance monitoring, growth planning, learning management, compliance tracking, document generation, and collaboration (collectively, the "Service" or the "platform"), and websites including mothusi.ai, incubatorportal.com, avnon.co, and avnon.io (collectively, the "Websites"). 1. User Types

The platform supports three types of users:

  • Site Visitors - users who browse the Websites without registering.
  • Free Users - registered users who access and use a limited set of platform features and functionality.
  • Subscribers - users who access the platform as part of a paid subscription plan. The features available to Subscribers are determined by the subscription tier and the specific terms agreed between Avnon and the subscribing organisation (the "Customer Agreement").

2. Eligibility

2.1 To use the Service and Websites you must be at least 18 years of age and competent to agree to these Terms. If Avnon has previously prohibited you from accessing the Service, you are not permitted to access or use it.

2.2 These Terms apply to all users regardless of geographical location.

3. Account Registration and Use

3.1 To access the Service, you must register for an account by creating a profile. You agree to provide accurate, complete, and current registration information. It is your responsibility to ensure that your password remains confidential and secure.

3.2 You are responsible for notifying us at info@avnon.co if you become aware of any unauthorised use of or access to your account. Avnon will not be liable for any loss as a result of someone else using your password or account.

4. Description of the Service

4.1 The Mothusi platform is an AI-powered business support system. Core functions include, but are not limited to:

  • AI-assisted mentoring, coaching, and diagnostic sessions;
  • business health scoring, performance monitoring, and growth planning;
  • professional document generation (including business plans, proposals, tender responses, contracts, reports, and presentations);
  • compliance tracking and regulatory monitoring;
  • opportunity identification (tenders, contracts, partnerships);
  • learning management and course delivery (including SCORM-compliant courses);
  • financial management (invoicing, budgeting, forecasting);
  • marketplace, networking, and supplier matching;
  • programme management for enterprise and supplier development, work integrated learning, and skills development; and
  • reporting and analytics at both individual business and programme level.

4.2 The platform uses artificial intelligence, including third-party AI models, to deliver these services. AI-generated outputs are produced based on the data you provide and the information held in the platform. 5. AI-Generated Content

5.1 The platform generates content using artificial intelligence, including but not limited to: mentoring responses, diagnostic assessments, scorecards, growth plans, business reports, document drafts, coaching recommendations, and opportunity summaries.

5.2 AI-generated content is provided as decision-support material. It is intended to inform and assist your business decisions, not to replace independent professional advice. You are responsible for exercising your own judgement before acting on any AI-generated output.

5.3 For matters involving significant financial commitments, legal obligations, tax decisions, or material changes to your business, you are advised to consult a qualified professional (such as an accountant, attorney, or industry specialist) before proceeding.

5.4 AI-generated documents (including business plans, contracts, tender responses, and financial projections) are drafts produced for your use and review. You are responsible for verifying the accuracy and suitability of any document before submitting it to a third party.

6. Programme Membership

6.1 If you access the platform as a member of a programme operated by a third-party organisation (such as an enterprise development programme, incubator, accelerator, or agricultural development programme), additional terms may apply as agreed between Avnon and the programme operator.

6.2 As a programme member, your programme administrator will have access to your session records, diagnostic data, scorecards, growth plans, mentoring minutes, and related programme information. This is necessary for programme oversight, reporting, and support delivery.

6.3 At the start of each mentoring or coaching session, Mothusi will confirm that session records are shared with your programme administrator. By continuing the session, you acknowledge this.

6.4 The programme operator may establish governance and approval processes that apply to AI-generated outputs directed at programme members. Where such processes are in place, outputs may be reviewed by the programme administrator before delivery to you.

7. Your Content and Data

7.1 You retain ownership of all content, files, data, and information you submit to the platform. You grant Avnon a limited licence to use your content solely for the purposes of providing the Service.

7.2 Business data you provide (including financial information, compliance documents, team data, and customer information) is used by the platform to generate personalised outputs, recommendations, and reports. This processing is described in detail in our Privacy Policy.

7.3 You are responsible for ensuring that the information you provide is accurate and current. The quality of AI-generated outputs depends on the accuracy and completeness of the data you provide.

8. Feedback

If you submit feedback, suggestions, or ideas about the Service, you grant Avnon a licence to use, copy, adapt, and incorporate that feedback for any purpose, without obligation to you.

9. Intellectual Property

9.1 The software, user interface, designs, know-how, workflow tools, AI models, prompts, frameworks, and other technologies provided by Avnon as part of the Service are the proprietary property of Avnon Pte Ltd. All right, title, and interest remain with Avnon. You may not remove or modify any proprietary markings or restrictive legends in the Service.

9.2 You may not:

  • sell, resell, rent, or lease the Service;
  • use the Service to store or transmit unlawful material;
  • interfere with or disrupt the integrity or performance of the Service;
  • attempt to gain unauthorised access to the Service;
  • reverse engineer the Service;
  • access the Service to build a competitive service or product, or copy any feature, concept, function, or process; or
  • demonstrate or explain the Service to any individual or organisation building or planning to build competitive or similar services.

10. Acceptable Use

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-sublicensable, non-transferable, and revocable licence to access and use the Service for your own internal business purposes, and only in a manner that complies with all applicable legal requirements.

11. Limitation of Liability

11.1 The Service, including all AI-generated outputs, is provided on an "as is" and "as available" basis. While we take reasonable steps to ensure the quality and accuracy of AI-generated content, we do not warrant that outputs will be error-free, complete, or suitable for any particular purpose.

11.2 To the maximum extent permitted by applicable law, Avnon shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profit, loss of business, business interruption, or loss of business opportunity, arising from your use of or reliance on the Service.

11.3 Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for fraud or wilful misconduct.

11.4 Where you are a member of a programme with an agreed governance framework (see Section 6), the allocation of responsibility between Avnon, the programme operator, and you as the end user will be as set out in that framework.

12. Privacy

13. Data Protection

13.1 Where the Service is used to process personal information of data subjects located in South Africa, we comply with the Protection of Personal Information Act, 2013 (POPIA). Full details are set out in our Privacy Policy.

13.2 All platform data is hosted on Microsoft Azure infrastructure located in Johannesburg, South Africa. Personal information is not transferred outside South Africa for storage purposes. During AI processing, data may be transmitted transiently to third-party AI providers whose infrastructure is located outside South Africa. This transmission is stateless and no data is retained by the provider.

13.3 Third-party AI models used by the platform operate on a stateless basis. They do not retain any personal information beyond the duration of a single processing request.

13.4 In the event of a security breach affecting personal information, we will notify the Information Regulator and affected data subjects in accordance with Section 22 of POPIA.

13.5 The designated Information Officer responsible for data protection compliance and data subject requests can be contacted as set out in our Privacy Policy.

14. Third-Party Links

The Service may provide links to third-party websites or resources. Avnon is not responsible for the availability of such external sites or resources and does not endorse any content, advertising, products, or other materials on or available from such sites.

15. Modification of the Service

Avnon reserves the right to modify or discontinue the Service, temporarily or permanently, with or without notice. Where changes materially affect your use of the Service, we will make reasonable efforts to provide advance notice via the platform or email.

16. Termination

16.1 You may stop using the Service at any time. To close your account, contact us at info@avnon.co.

16.2 We may suspend or terminate your access to the Service at any time for breach of these Terms or for any other reason, with or without notice.

16.3 Upon termination, your right to access the Service ceases immediately. You may request export of your data prior to or within 30 days of termination.

17. Governing Law

These Terms are governed by the laws of Singapore. All disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Singapore. Where the Service is provided to users in South Africa in connection with a programme governed by South African law, the applicable Customer Agreement may specify alternative governing law provisions.

18. General

18.1 No waiver of any breach shall constitute a waiver of any other or subsequent breach.

18.2 If any provision of these Terms is found to be unlawful or unenforceable, the remaining provisions shall continue in full force and effect.

18.3 These Terms, together with the Privacy Policy and any applicable Customer Agreement, constitute the entire agreement between you and Avnon in relation to the Service.
